These terms cover the LoadSnap partner programme. They are between you (the "Partner") and Web Hero Limited ("we", "us", "our"), a company registered in England and Wales, with its registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ.
1. What you do
You introduce businesses to LoadSnap. You may do that with your referral link, or by naming a business in your partner dashboard before they sign up.
You are an independent business. Nothing here makes you our employee, agent or partner in law, and you cannot enter into anything in our name.
2. What you earn
You earn your commission rate on what an introduced customer pays us in their first twelve months, excluding VAT. Your rate is shown in your dashboard and does not change for a customer once they have signed up.
There is no cap on what a customer can earn you. The twelve months is counted from the customer's first paid invoice, not from the day they signed up, so a long trial does not eat into it. Nothing is earned on what they pay after those twelve months.
Commission is earned when the customer's invoice is paid, and clears fourteen days after that payment. The fourteen days are counted from the payment itself, not from the day the customer signed up, so the length of any trial they took does not change it. The hold covers the period in which that payment could be refunded. Cleared commission is yours to withdraw. If we refund a customer, the commission on that payment is taken back.
3. Being paid
You ask to be paid from your dashboard once your cleared balance reaches your minimum. We pay by bank transfer to the account you have given us.
We raise your invoice for you. When we register your payment as paid, we raise a self-billed invoice in your name for the commission, send you a copy, and keep one for our records. You do not need to send us an invoice, and you must not raise your own for a payment we have already invoiced.
By accepting these terms you agree that:
- we may raise self-billed invoices for all commission we pay you, without your prior approval of each one
- you will not raise your own sales invoice for commission covered by a self-billed invoice
- you will tell us at once if you change your VAT registration number, stop being VAT registered, or transfer your business
- you accept each self-billed invoice we issue as your invoice for that payment
Commission is exclusive of VAT. If you are VAT registered and have given us your number, we add VAT to the self-billed invoice and pay it with the commission; the VAT shown on it is your output tax due to HMRC. If you are not VAT registered, no VAT is charged.
This self-billing agreement runs for twelve months from the day you accept it, and we will ask you to confirm it again before it runs out. Either of us can end it by telling the other, after which you invoice us in the normal way.
Keeping your own tax affairs in order is yours to do. We do not deduct tax from what we pay you.
4. How you may sell LoadSnap
You may say what LoadSnap does. You may not:
- say anything about LoadSnap that is not true, including about price, features or compliance
- promise anything on our behalf, including discounts, timescales or features
- bid on "LoadSnap" or anything close to it in paid search
- send unsolicited bulk email, or anything that breaks the Privacy and Electronic Communications Regulations or UK GDPR
- present yourself as LoadSnap, or use a domain, handle or business name that suggests you are us
- claim commission on a business that was already talking to us, or on your own accounts
Use of our name and logo is allowed for introducing LoadSnap and for nothing else. We can ask you to stop using either at any time.
5. Which introductions count
A business counts as yours if they sign up through your link within ninety days of clicking it, or if you named them in your dashboard and they sign up within ninety days.
Our website only remembers a click for ninety days when the visitor allows advert cookies. When they do not, the click counts if they sign up in the same visit. Naming a business in your dashboard does not depend on cookies.
A business belongs to one partner. Where two partners could claim the same business, the most recent click before sign-up wins. Where a business was already in conversation with us, neither claim stands.
We can decline a claim, and we will tell you why.
6. Data
Where you send us a business's details, you confirm you have the right to. Each of us is a separate controller of that data under UK GDPR.
You will not be told anything about a customer's account beyond what your dashboard shows, which is their name, when they joined and what you have earned from them.
7. Ending it
Either of us can end this at any time, by telling the other. If you end it, or we end it because you have stopped introducing businesses, you keep the commission already earned and it pays out as normal as it clears.
If you break clause 4, we can end this immediately and withhold commission not yet paid. We will tell you what we say you did and give you the chance to answer first.
8. Liability
Neither of us excludes liability for death or personal injury caused by negligence, or for fraud.
Our total liability to you under these terms will not exceed the commission we have paid you in the twelve months before whatever it is you are claiming for.
9. Changes
We can change these terms. If a change affects what you earn or how you are paid, we will tell you at least thirty days before it applies, and it will not change the rate on a customer you have already introduced.
10. Law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
